1. Agreement to Terms

By accessing or using Takt ("the Service"), provided by Takt LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

Takt is a real-time messaging application that facilitates group conversations with AI participation. The Service allows users to:

  • Create and join conversation spaces
  • Exchange messages with other participants
  • Interact with an AI participant
  • Send private messages to the AI participant

3. Eligibility

You must be at least 18 years old to use this Service. By using Takt, you represent and warrant that you meet this age requirement.

4. User Accounts and Spaces

4.1 Accounts

  • You must provide a valid email address to create an account
  • You are responsible for maintaining the security of your account
  • You must notify us immediately of any unauthorized access

4.2 Nicknames

  • You are responsible for the nickname you choose
  • Nicknames must not be offensive, impersonate others, or violate any laws
  • We reserve the right to remove or reclaim nicknames that violate these Terms

4.3 Space Codes

  • Space codes are provided for accessing conversation spaces
  • You are responsible for sharing space codes only with intended participants
  • Do not share space codes publicly or with unauthorized persons

5. Subscriptions and Payments

5.1 Free and Paid Tiers

Takt offers a free tier with a limited number of AI-powered messages and a paid subscription ("Takt Pro") that provides a monthly credit budget, space settings controls, persistent cross-space memory, image generation, private messaging, and additional features. One-time message packs are also available for purchase without a subscription.

5.2 Subscription Plans

Takt Pro is available as a monthly auto-renewable subscription. Current pricing is displayed in the app before purchase.

5.3 Billing and Auto-Renewal

  • Payment is charged to your Apple ID account, Google Play account, or payment method on file with Stripe at confirmation of purchase
  • Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period
  • Your account will be charged for renewal within 24 hours prior to the end of the current period at the same price

5.4 Managing and Cancelling Subscriptions

  • iOS: Manage or cancel in Settings > Apple ID > Subscriptions
  • Android: Manage or cancel in Google Play Store > Subscriptions
  • Web: Manage or cancel through your account settings in the app
  • Cancellation takes effect at the end of the current billing period; you retain access to Takt Pro features until then

5.5 Refunds

Refunds are handled by the respective platform (Apple, Google, or Stripe) in accordance with their refund policies. We do not process refunds directly.

5.6 Price Changes

We may change subscription prices at any time. Price changes will take effect at the start of the next billing period following notice. If you do not agree with a price change, you may cancel your subscription before it renews.

5.7 Credits and Message Packs

Takt Pro subscribers receive a monthly credit allocation that refreshes each billing cycle. Credits are consumed when the AI responds to messages, with costs varying based on space settings. Unused credits carry over indefinitely. Additional credits may be purchased as one-time top-ups. Non-subscribers may purchase message packs for additional AI-powered messages beyond the free allocation.

5.8 Promotional Offers

We may offer promotional pricing or bonus credits. Terms of any promotion will be specified at the time of the offer.

6. Acceptable Use Policy

You agree NOT to:

6.1 Prohibited Content

  • Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of privacy
  • Share content that infringes on intellectual property rights
  • Transmit viruses, malware, or any destructive code
  • Post spam, chain letters, or unsolicited commercial messages
  • Share false or misleading information

6.2 Prohibited Conduct

  • Impersonate any person or entity
  • Harass, intimidate, or harm other users
  • Attempt to gain unauthorized access to the Service or other users' data
  • Interfere with or disrupt the Service or servers
  • Circumvent any security features or access restrictions
  • Use the Service for any illegal purpose or to solicit illegal activities
  • Collect or harvest user data without permission
  • Use automated systems or bots without authorization

6.3 Zero Tolerance Policy

Takt has zero tolerance for objectionable content or abusive users. We actively moderate content and will:

  • Remove objectionable material within 24 hours of report
  • Terminate accounts that violate these terms
  • Cooperate with law enforcement when required

Users can report objectionable content or abusive behavior through the in-app reporting feature. Blocking a user will immediately remove their content from your view.

7. Content Ownership and Rights

7.1 Your Content

  • You retain ownership of content you create
  • By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content as necessary to provide the Service
  • You represent that you have the right to share any content you post

7.2 Our Content

  • Takt and its licensors own all rights to the Service, including design, functionality, and documentation
  • You may not copy, modify, distribute, sell, or lease any part of our Service

7.3 AI-Generated Content

  • AI responses are provided for informational purposes only
  • We make no warranties about the accuracy, completeness, or reliability of AI-generated content
  • AI responses should not be considered professional advice

8. Privacy and Data

Your use of the Service is also governed by our Privacy Policy. By using Takt, you consent to our collection and use of information as detailed in the Privacy Policy.

9. Third-Party Services

The Service relies on third-party providers for infrastructure, AI processing, analytics, and notifications. A complete list of these providers and how your data is shared with them is available in our Privacy Policy. Your use of the Service constitutes acceptance of these third parties' terms and policies.

10. Disclaimers and Limitations of Liability

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee

We do not guarantee that:

  • The Service will be uninterrupted or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • AI responses will be accurate or appropriate

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAKT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

10.4 User Interactions

  • We are not responsible for user conduct or content
  • You are solely responsible for your interactions with other users
  • We do not endorse any user-generated content

11. Indemnification

You agree to indemnify, defend, and hold harmless Takt LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content

12. Termination

12.1 Your Right to Terminate

You may stop using the Service at any time and delete your account from Settings.

12.2 Our Right to Terminate

We may terminate or suspend your access to the Service immediately, without prior notice, for:

  • Violation of these Terms
  • Conduct that we believe harms the Service or other users
  • Any reason at our sole discretion

12.3 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your content and data
  • Provisions of these Terms that should survive termination will remain in effect

13. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes:

  • We will update the "Last Updated" date
  • Continued use of the Service constitutes acceptance of the new Terms

14. Modifications to Service

We reserve the right to modify or discontinue the Service (or any part thereof) with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to conflict of law principles. You agree to submit to the personal jurisdiction of the courts located in San Francisco County, California.

16. Dispute Resolution

16.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us.

16.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

16.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in a class action lawsuit or class-wide arbitration.

17. General Provisions

17.1 Entire Agreement

These Terms constitute the entire agreement between you and Takt LLC regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17.4 Assignment

You may not assign or transfer these Terms or your rights under them. We may assign our rights to any of our affiliates or successors.

19. Special Provisions

19.1 AI Interactions

  • AI responses are not a substitute for professional advice (medical, legal, financial, etc.)
  • The AI participant adapts to the context and tone of each space
  • We are not responsible for decisions made based on AI responses

19.2 Experimental Features

  • We may offer experimental features marked as "beta" or "preview"
  • These features are provided without warranties and may be discontinued

19.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property and may be used without compensation to you.
